Resolution

A formal decision or statement adopted by the board of directors through a vote. Resolutions are used to establish policies, authorize expenditures, adopt rules, or take other official actions. They are recorded in the minutes and may be numbered for reference. Some resolutions require member approval depending on the subject matter and governing documents.
