Executive Session

A closed portion of a board meeting from which non-board members are excluded. Executive sessions are limited to specific topics such as litigation, personnel matters, contract negotiations, member discipline, and formation of legal strategy. Decisions made in executive session must generally be ratified in open session. No votes may be taken except on the permitted topics.
